Agreement to terms

These Terms of Service (Terms) govern your access to and use of The Small Council website, product, and related services (collectively, the Services). By accessing or using the Services, you agree to these Terms.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services.

Accounts

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Providing accurate information and keeping it up to date.

We may suspend or terminate accounts to protect the Services or enforce these Terms.

Subscriptions, fees, and payments

If the Services include paid features:

• Fees, billing cadence, and plan details will be presented at purchase.
• Payments are processed by a third-party payment processor.
• Unless otherwise stated, fees are non-refundable and non-cancelable for the current billing period.

Founding member plans may be cancelled at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period. If you are unsatisfied within the first 7 days of your first payment, contact [email protected]for a full refund at our discretion.

Acceptable use

You agree not to:

• Use the Services for unlawful, harmful, or fraudulent purposes.
• Attempt to reverse engineer, scrape, or disrupt the Services.
• Upload or transmit malware or harmful code.
• Infringe or violate the rights of others.
• Submit content that is illegal, defamatory, or violates privacy.

User content

You retain ownership of content you submit to the Services (User Content). You grant us a limited, non-exclusive, worldwide license to use, host, process, and display User Content solely to provide, maintain, and improve the Services.

You represent that you have the rights necessary to submit User Content and that doing so does not violate any law or third-party rights.

AI-generated outputs and disclaimers

The Services provide AI-generated advisory outputs. You understand and agree:

• Outputs may be inaccurate, incomplete, or not appropriate for your situation.
• You are responsible for evaluating outputs and making your own decisions.
• The Services do not provide legal, tax, accounting, investment, or other regulated professional advice.

The Small Councils advisory profiles are AI personas trained on real executive archetypes and are not representations of real individuals. Advisor names, backgrounds, and opinions are fictional constructs designed for informational and educational purposes. No advisor profile constitutes an endorsement by or relationship with any real person living or deceased.

Intellectual property

The Services, including software, design, text, and trademarks, are owned by The Small Council or its licensors and are protected by intellectual property laws.

Third-party services

The Services may integrate with or link to third-party services. We are not responsible for third-party services and your use of them is governed by their terms.

Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Services.

Upon termination, your right to use the Services will cease. Certain provisions will survive termination, including intellectual property, disclaimers, limitation of liability, and dispute resolution.

Disclaimer of warranties

The Services are provided as is and as available. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, The Small Council will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services.

In no event will our total liability for all claims exceed the amount you paid to us for the Services in the 12 months before the event giving rise to the claim, or $100 if you have not paid us.

Indemnification

You agree to indemnify and hold harmless The Small Council and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys fees) arising from your User Content, your use of the Services, or your violation of these Terms.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Dispute resolution

You agree to attempt to resolve disputes informally by contacting us first. If a dispute cannot be resolved, it will be brought in the state or federal courts located in California, and you consent to their jurisdiction.

Changes to terms

We may update these Terms from time to time. We will post the updated Terms and revise the effective date. Your continued use of the Services after changes become effective constitutes acceptance.
